Terms of Service.

By accessing or using Tane's services, you agree to be bound by these Terms of Service. If you do not agree, do not use our service.

Tane, a service of Shojum, LLC, provides business formation, registered agent, and compliance services for US business entities. We facilitate state filings and arrange registered agent service through a nationwide partner — see section 6. We are not a law firm and do not provide legal advice. Consult a licensed attorney for legal questions.

You must:

• Be at least 18 years old
• Provide accurate and complete information
• Maintain the confidentiality of your password
• Be responsible for all activity under your account
• Promptly notify us of unauthorized account access

• Service fees are charged at the time of order placement
• State filing fees are passed through at cost — we do not mark them up
• Registered agent service auto-renews annually unless cancelled before the renewal date
• Payment processing is handled by Stripe; you agree to Stripe's terms
• Prices may change with 30 days notice for ongoing subscriptions

You acknowledge that:

• State processing times are outside our control and vary by state
• We cannot guarantee approval of any state filing
• EIN processing involves a federal agency whose processing times we don't control; our ITIN materials are self-serve guidance only, and we do not prepare or submit ITIN applications
• You are responsible for the accuracy of information you provide
• You are responsible for tax filings, ongoing compliance, and legal obligations of your business

• Registered agent service is provided through our partner, Northwest Registered Agent. Northwest is appointed as your registered agent of record, and its name and street address appear on your state filing and in the public record
• Your registered agent receives legal documents (service of process), state correspondence, and tax notices on behalf of your business
• We arrange and manage that service for you, and make received documents available in your account after they are processed; timing may vary by document and delivery channel
• You are responsible for monitoring your account for received documents
• The registered agent address may not be used for general business mail; this service is for legal notices only
• Your contract for this service is with Shojum, LLC. We remain responsible to you for the service we sell, whichever partner performs it, and we may change providers on notice to you

You agree not to:

• Use our service for illegal activities, fraud, or money laundering
• Form entities for purposes of tax evasion or sanctions evasion
• Provide false information about yourself or your business
• Resell, redistribute, or commercially exploit our service without permission
• Attempt to interfere with the security or operation of our platform

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or for any reason at our sole discretion. Upon termination, you remain responsible for any outstanding obligations. You may cancel your account at any time via your account settings.

Our services are provided "as is" without warranties of any kind. We do not warrant that the service will be uninterrupted, error-free, or fit for any particular purpose. We are not a law firm. Nothing on our platform is legal advice.

To the maximum extent permitted by law, Shojum, LLC's total liability for any claim arising from your use of the service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

You agree to indemnify and hold Shojum, LLC harmless from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

These Terms are governed by the laws of the State of Delaware, USA. Any disputes will be resolved in the courts of Delaware, and you consent to the jurisdiction thereof.

We may update these Terms from time to time. Material changes will be communicated via email. Continued use after changes constitutes acceptance.
